Jason Lake Buys Back Complexity

FRISCO, TX / ACCESSWIRE / March 1, 2024 / GameSquare Holdings, Inc. (NASDAQ:GAME)(TSX.V:GAME), (“GameSquare”, or the “Company”), today announced that it has sold its esports team NextGen Tech, LLC d/b/a Complexity Gaming (“Complexity”) to Global Esports Properties, LLC (“Global Esports”), an investor group led by Complexity’s founder and CEO Jason Lake for total consideration of US$10.36 million. GameSquare and Complexity signed a Membership Interest Purchase Agreement dated as of March 1, 2024, and the transaction is anticipated to close shortly upon the satisfaction of a closing condition to receive TSXV approval for the transaction.

“Complexity is a leading esports organization that has experienced tremendous growth under GameSquare’s ownership, with annual sales increasing over 175% and a 10x increase in the number of aggregate social followers from 2021 to 2022. While it is bittersweet to sell Complexity, there is no one better suited to take over than Jason and his team,” says GameSquare CEO Justin Kenna. “The Complexity transaction follows the December 2023 sale of our Frankly radio assets, as we continue to optimize our platform ahead of the pending acquisition of FaZe. Under the terms of the Membership Interest Purchase Agreement, Global Esports has agreed to pay GameSquare an aggregate of approximately US$10.36 million for Complexity’s assets and intellectual property including Complexity’s esports team. Global Esports will pay GameSquare US$0.75 million upon closing of the transaction. In addition, GameSquare and Global Esports have entered into a 3-year seller financed note of approximately US$9.61 million, which accrues annual interest of 3.0% to be paid to GameSquare in a balloon payment at the end of the term. GameSquare will also have the right to receive 50% of the proceeds from any equity raised by Global Esports in excess of US$500,000 that will be credited against the outstanding principal balance of the seller financed note.

As announced on January 2, 2024, GameSquare entered into a principal US$5.8 million convertible note (the “Convertible Debenture”). The Convertible Debenture is convertible at the holder’s option into common shares of GameSquare at a price of US$5.00 per share. As requested by the TSX Venture Exchange, GameSquare confirms that the anti-dilution provisions in the Convertible Debenture are subject to a US$3.00 floor price.

U.S. Navy Announces Winner of Armed Forces Esports Championship, in Partnership with Complexity Gaming

FRISCO, TX / February 1, 2024 / The U.S. Navy recently announced the 2024 Armed Forces Esports Championship with Halo Infinite, an exciting showcase of skill, camaraderie and the positive impact of gaming within the military community. Launched on January 22nd in partnership with Complexity Gaming, a GameSquare company, the in-person championship was co-hosted by the U.S. Navy’s Commander Navy Installation Command (CNIC) Fleet and Family Readiness’ (FFR) Morale, Welfare and Recreation (MWR) All-Navy Sports and Department of Defense’s Armed Forces Sports Programs. The event featured an unprecedented tournament format like never before, combining competitive gaming with a comprehensive cognitive and physical skills challenge.

The overall winner was the U.S. Army, the U.S. Navy took second place and the Air Force came in third.

As part of a partnership extension with the U.S. Army Installation Management Command’s Family and Morale, Welfare and Recreation (U.S. Army MWR), the Soldier Showdown series reinforces the power of gaming to build camaraderie among U.S. Army soldiers.

Kicking off May 6, 2023, Soldier Showdown 5 will offer active duty U.S. Army personnel an opportunity to compete head-to-head in a trio of popular game titles across three months – Multiversus in May, Rocket League in July, and Call of Duty: Warzone in September. Top-ranked players in each title will advance to the live finals at Complexity’s headquarters, the Lenovo Legion Esports Center at The Star in Frisco, Texas, in November 2023.

Soldier Showdown 5 is part of Complexity and the U.S. Army’s long-standing partnership. Now in its fifth year, the tournament series highlights the pair’s commitment to fostering teamwork and camaraderie through gaming. New to this year’s partnership, Complexity will utilize market leading analytics tool, Stream Hatchet, to measure the performance of the competition. With the addition of new tools and the return of the finals to the Lenovo Legion Esports Center after a two-year hiatus, Complexity anticipates that participation in Soldier Showdown 5 will increase compared to previous years.

New VALORANT Tournament Invites Top Game Changers Squads to Compete for $10,000 Prize Pool

FRISCO, Texas – March 16, 2023 Complexity Gaming, a GameSquare company, today announced the Complexity Gaming Paradox Invitational powered by Lenovo Legion, a new $10,000 VALORANT tournament. Taking place on March 25 and 26 in celebration of Women’s History Month, the invitational is the first in a series of Complexity-hosted VALORANT competitions aimed at supporting women and non-binary VALORANT competitors.

Spanning two days of competition, the Complexity Gaming Paradox Invitational powered by Lenovo Legion features eight of the top women and non-binary VALORANT squads from the Americas as they face off in a double-elimination bracket. Participants include fan-favorites from the VALORANT Game Changers season, including Complexity’s GX3 – the organization’s female-identifying and non-binary roster – Evil Geniuses, CLG Red, KARMA, Leviatan, Akave Girls, Velaris, and Hamboigas.
